Stage One: Choose your Brand Name.

Separate Flat Fee Cost: $1,400.00 ($650.00 per comprehensive trademark search, $100.00 for name reservation).

• Two comprehensive trademark searches so you can decide which business or product name to choose and avoid the costly mistake of spending money on a brand name you can never own. See more about what is included in trademark searches and registration here.
• Secretary of State Name Check to see if your chosen entity name is available. We file a name reservation if it makes sense with your timing.

Stage Two: Form your Entity.

Separate Flat Fee Cost: $1000.00 minimum for a full entity package. Actual flat fee costs depends on form of entity and number of founders.

• LLC? S-Corp? Partnership? We have a detailed conversation with you and help you select the type of entity that will suit you best. Then we create all the required paperwork, file it with the right government entities, and set you up with a beautiful custom binder with your name in gold lettering. You will never feel so organized as the day we hand you your binder. Our package includes the preparation and filing of the Articles of Articles of Incorporation or Articles of Organization. We have a relationship with a currier in Sacramento for expedited filings. Once we have your entity number from the secretary of State, we prepare all formation corporate consents and resolutions by shareholders and/or board, and corporate records. We provide you with a beautiful business minute book with the name of your business in gold lettering, and a real seal inscribed with your business' name and date of formation.

Stage Three: Set Up Your Entity for Success.

Separate Flat Fee: $1000.00- $6,000.00 depending on needs, however the major value of setting up your agreements with your fellow founders is to avoid the heartache and expense of when two or more reasonable people allow misunderstandings to result in expensive conflict.

• So many entities are formed but not set up to protect and reduce conflict between the founders. In this stage we go above and beyond to give your entity clear operating structures so the founders will have clear guidelines on how to conduce the affairs of the business in a fair and measured way.
  • Preparation of Bylaws, Operating Agreement, or a Partnership Agreement to provide how the company is managed.
  • Preparation of Restricted Stock Purchases Agreements for Initial Founders.
  • Preparation of Indemnification Agreement for Officers & Directors.

Stage Four: Government Compliance.

Separate Flat Fee: $500.00-$1000.00 depending on needs.

• When starting a business you have many different government entities that want their paperwork completed. Depending on the type of entity you have chosen and the name of your business we will complete the following compliance work:
  • Fictitious Business Name with local government
  • California Securities Filing
  • Prepare and file Form SS-4 Application for Employer Identification Number with IRS
  • California Secretary of State Statement of Information

Stage Five: Get Educated.

Priceless, really. But to purchase separately is about $900.00 depending on your needs.

• We make sure you are up to speed on the following important business 101s:
  • How to protect your intellectual property.
  • The difference between employees and independent contractors.
  • How to best maintain your business entity's liability protection.

Stage Six: Protect your brand.

Separate Flat Fee: $1275 or more depending on complications.

• We register your intellectual property so nobody can take advantage of your hard work. One trademark or copyright registration in one category included. We pay the federal filing fee! See more about trademark registration here.

Stage Seven: We're in business!

Separate Flat Fee: $3000-$6000.00 depending on needs.

• We create three custom agreements to get you going, including:
  • Custom Nondisclosure Agreement
  • Assignment of Intellectual Property to Business Entity (if needed)
  • Preparation of a Basic Employment Offer Letter (“at will”) and/or Independent Contractor Agreement
  • Liability waiver
• We review one contract for you, maximum ten pages. It could be the lease to your new place!
• We give you a 10% discount off of any of our hundreds of DIY forms in our Virtual Office.

Stage Eight: We stay with you.

Separate Flat Fee: $2,748

• One Year Membership in our Gold Level Business Counsel Service Plans, which includes unlimited quick questions with your attorney.

Value Pricing $6,350.00 for the entire package.

* Once you pay the $6350.00 for the Startup Package you will receive an email to complete all the required incorporation information. Depending on the filings you need and the timeline that works for you, there will be additional government fees.

**By submitting payment, you agree to our Engagement Agreement regarding fees and representation. Please review the Engagement Agreement carefully before submitting payment.
